This document sets out the terms and conditions governing purchases of VZY TV units made through the official website of Dish TV India Limited (“Dish TV”). These terms apply to all users accessing or transacting through the Website www.dishtv.in or www.d2h.com.  By using the service, creating an account, or placing an order, you agree to these terms.

1.  Introduction

        i. The websites www.dishtv.in or www.d2h.com (“Website”) is owned and managed by Dish TV India Limited, a company incorporated under the Companies Act. These Terms and Conditions (“Terms”) govern your access to and use of the Website for purchase of VZY TV.

      ii. While purchases are made through the Website, the VZY TV products listed and sold on the Website are owned, supplied, and manufactured by Dish Infra Services Private Limited (“Dish Infra”), which is the manufacturer of the VZY TV units and other associated products. Accordingly, all rights, obligations, warranties, and responsibilities in respect of the TV products rest solely with Dish Infra.

    iii.  Dish Infra and Dish Infra reserves the right to modify or update these Terms at any time. Any changes will be reflected on this page with an updated effective date. Your continued use of the Website after such updates signifies your acceptance of the revised Terms.

2.  Definitions

        i. ‘Customer’ or ‘You’ means any individual or entity purchasing or intending to purchase VZY TV from the Website. 

        ii.  ‘Order’ means your offer to purchase a VZY TV product through the Website

        iii. ‘Third-Party Service Partners’ means vendors such as payment gateways, logistics partners, and other entities assisting in order fulfilment.

3. Orders

                    i. Placing an order on the Website constitutes an offer to purchase the selected VZY TV product/s. Dish Infra will acknowledge receipt of your order via__________________________, but such acknowledgment does not constitute acceptance. A binding contract is formed only when the payment has been made by you and the product is dispatched to you and a dispatch confirmation is sent.

                  ii.  You expressly acknowledge and agree that any VZY TV purchased through the Website is intended solely for your personal use and shall not be sold, resold, exchanged, bartered, or otherwise utilized for any commercial or profit-making purpose. Dish Infra reserves the right, at its sole discretion, to cancel or reject any order that it determines to constitute a “Bulk Order” based on its internal assessment and policy criteria.

                iii.  An order may be considered a Bulk Order if it meets any one or more of the following conditions (which are illustrative and not exhaustive):

·         The products appear to be purchased for commercial resale rather than personal use;

·         Multiple quantities of the same item are ordered for delivery to a single address;

·         The order involves unusually large quantities inconsistent with normal household consumption;

·         The address or contact information provided is found to be invalid, incomplete, or unverifiable;

·         The order appears to have been placed using automated tools or deceptive methods;

·         Multiple orders are placed using the same contact number, email ID, or other identifying information; or

·         Any other circumstance or pattern of purchase that Dish Infra reasonably believes indicates a non-personal or bulk-purchase intent.

                 iv. Dish Infra reserves the right, at its sole discretion, to decline, reject, or limit any order placed through the Website, in whole or in part, without assigning any reason. An order may be declined, rejected, or limited under, but not restricted to, the following circumstances:

·         You have not accepted or complied with these Terms and Conditions (including the Privacy Policy);

·         The shipping address provided is invalid, incomplete, or located outside the serviceable areas within India;

·         The payment transaction for your Order has failed, been reversed, or remains unverified;

·         The product ordered is unavailable, out of stock, or cannot be delivered within a reasonable time frame;

·         The information provided by you is found to be incomplete, inaccurate, or misleading;

·         The products appear to be intended for resale or commercial use rather than for personal or household consumption;

·         Multiple quantities of the same or similar products are ordered to a single address, or under the same contact number, email ID, or user account;

·         The order involves bulk quantities inconsistent with normal consumer behaviour;

·         Any irregularity, misuse, or deceptive practice is detected in the placement of the order; or

·         Any other reason or condition that Dish Infra, in its judgment, considers reasonable for limiting or rejecting the order.

                   v. In cases where your payment has already been processed and the order is subsequently declined, Dish Infra will notify you of such action and initiate a refund of the amount paid, in accordance with its Refund Policy.

                 vi. Acceptance of the order is subject to both payment and stock availability.

4.  Payments

                    i. Payments must be made through approved digital payment options (credit/debit cards, UPI, net banking, etc.) provided by authorized payment gateway partners. Dish Infra shall not be responsible for any delay, failure, or loss due to Third-Party Service Provider payment processing. You acknowledge and undertake that you are transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the Website. We are not liable for any fees incurred by you as a result of your chosen payment method.

                  ii. Please ensure that you inspect the TV product as soon as you accept it from our authorized delivery partner. In case of any physical damage to the outer or inner packaging, either refuse to accept delivery or accept delivery only after putting a suitable remark on the proof of delivery receipt document. Dish Infra retain the right to withhold refund/replacement of the damaged product if you fail to put a note about the nature of damage on the courier receipt confirmation slip.

In case of any damage to the actual product, you are required to inform customer care within 24 hours of receipt of the product post which we shall not be liable in any manner for refund/replacement against the damage or any product related issues.

5. Shipment & Delivery

                    i. Dish Infra delivers products only within India through its authorized logistics partners. Delivery timelines provided at checkout are estimates and may vary due to operational or regulatory factors. Dish Infra will not be responsible for any delay caused out of incorrect shipping address entered at the time of placing the order. Risk and ownership of the product transfer to you upon successful delivery.

6. Cancellations, Returns and Replacement

                    i. Unless otherwise provided in these Terms and Conditions, Orders cannot be cancelled or amended once Order Confirmation is sent to You.

                  ii. Dish Infra reserves the right to accept or cancel any order at its sole discretion. By placing an order, you agree not to dispute Dish Infra’s decision and to accept its judgment regarding any order cancellation. Dish Infra may, at its discretion, cancel your order in any of the following situations:

a. Issues identified by the credit or fraud prevention department.

b. Incorrect or inaccurate product or pricing information.

c. Limitations on the quantity of products available for purchase.

d. Products ordered for commercial resale rather than personal use.

e. Multiple orders placed to the same delivery address.

f. Bulk orders exceeding normal purchase quantities.

g. Invalid, incomplete, or incorrect address details.

h. Use of fraudulent or manipulative practices to place an order.

i.  Multiple orders placed using the same mobile number or email address.

j.  Any other circumstances deemed appropriate by Dish Infra.

k. Situations beyond the reasonable control of Dish Infra.

7.Product Damaged or Defective on Arrival

                    i. If the product delivered to you shows visible damage to its packaging, or if upon opening the packaging you discover that the product is physically damaged, please contact us within 24 (twenty-four) hours from the time of delivery. You will also be required to provide proof of purchase along with any delivery documentation for replacement.

                  ii. Dish Infra reserves the right to inspect the product and verify the reported defect. You are required to return the product for assessment in good condition, including all original accessories, documentation, packaging materials, brand box, shipping label, and packaging slip. Proof of purchase must also be provided. We will communicate the results of our assessment within a reasonable timeframe.

                iii.  If the product is found to be defective, you will be entitled, in accordance with your statutory rights, to a repair and replacement.

                 iv.  If, after inspection, Dish Infra reasonably determines that the product is not defective, or if the defect is caused by misuse or is not covered under the product warranty, we reserve the right to refuse repair and/or replacement. In such cases, you may be charged for the costs of collection, return, and inspection of the product.

                   v. If the product malfunctions or does not perform as described on the product, please contact our Customer Care within 24 (twenty-four) hours of delivery.

                 vi. Returned items must be in original condition with packaging, manuals, and accessories intact. Products damaged due to misuse, unauthorized repairs, or neglect are not eligible for return.

               vii. Any promotional offers, discounts, or benefits availed while placing such an order shall be deemed forfeited and will not be reinstated or refunded in the event of cancellation.

8. Product Installation and Warranty

VZY TV products require professional installation or demonstration, which Dish Infra may provide directly or through authorized service agents. 9. Intellectual Property

All intellectual property rights in the VZY TV products, its content, design, logos, and trademarks are owned by Dish Infra or its licensors.

                    i. Dish Infra collects and processes your personal data in accordance with its Privacy Policy. By using the Website for purchase, you consent to the collection, use, and sharing of your data as described therein. Our authorized Third Party Service Partners (e.g. – delivery partner, service providers), will communicate with you about your order and the purchased product through any of the mode using email, SMS, and telephone or all of them or any other mode. You must provide a valid email address and contact telephone and/or mobile number to Shop for this purpose.

                iii. This Website may contain links to other sites and resources provided by third parties, these links are provided for your convenience only. Dish TV or Dish Infra has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them. 11. Limitation of Liability

                    i. The Website and Services are provided on an 'as is' basis without warranties of any kind. Dish Infra disclaims all implied warranties of merchantability, fitness for purpose, and non-infringement. Dish Infra shall not be liable for indirect, incidental, or consequential damages arising from your use of the Website or purchase of products.

                  ii. We will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the Website.

12. Indemnity

                    i.  You agree to indemnify and hold harmless Dish TV and Dish Infra, its officers, employees, and affiliates against all claims, liabilities, or damages arising from your breach of these Terms or misuse of the Website.

                  ii. Dish TV and/or Dish Infra  will not be liable for any loss or damage suffered or incurred by you for any delay in fulfilling or failure to fulfill your Order caused by any circumstance beyond our reasonable control.

13. Termination

Dish Infra reserves the right to suspend or terminate your access to the Website or any part thereof at its discretion, without prior notice, if it believes that you have violated these Terms or applicable laws.

14. Governing Law and Jurisdiction

These Terms and transactions on this Website shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
